Terms of Service for TakeOnePiece LLC

1. Agreement to Terms

By creating an account or by accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services. This agreement contains a mandatory arbitration provision and a class action waiver. Please read it carefully.

2. User Accounts

a. Account Creation: To access certain features, you must create an account. You agree to provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

b. Account Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

c. Age Requirement: Our Services are intended for users who are at least 13 years old. If you are under the age of 18, you represent that you have your parent or guardian’s permission to use the Services.

3. User Content and License Grant

You may be able to submit, post, or display content, such as text, photos, or other materials ("User Content"). You retain all rights to your User Content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed. You also agree that we may use your User Content for promotional purposes.

4. User Conduct and Restrictions

You agree not to misuse the Services or help anyone else to do so. You agree not to:

• Probe, scan, or test the vulnerability of any system or network.
• Breach or otherwise circumvent any security or authentication measures.
• Access, tamper with, or use non-public areas of the Services.
• Interfere with or disrupt any user, host, or network.
• Violate any applicable law or regulation.
• Reverse engineer, decompile, or disassemble the software, or attempt to do so.

5. Intellectual Property and Feedback

All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of TakeOnePiece LLC and its licensors. If you provide us with any feedback, suggestions, or comments regarding the Services ("Feedback"), you grant us the right to use such Feedback in any way and for any purpose without any obligation to you.

6. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied. To the maximum extent permitted by applicable law, the company, its affiliates, and its licensors expressly disclaim any and all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TakeOnePiece LLC (dba Mindful Suite), its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this service.

Under no circumstances will the company's total liability of all kinds arising out of or related to your use of the services exceed the greater of (a) the total amount paid by you to the company for the services in the six (6) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

9. Indemnification

You agree to defend, indemnify, and hold harmless TakeOnePiece LLC, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Services, or (b) a breach of these Terms.

10. Dispute Resolution: Binding Arbitration

a. Mandatory Arbitration: You and TakeOnePiece LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding.

b. Class Action Waiver: You and the company agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

c. Governing Law and Forum: These Terms shall be governed by the laws of the State of YourState, without regard to its conflict of laws provisions. The exclusive jurisdiction and venue for all arbitrations will be YourCity,YourState.

11. General Terms

a. Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between the Company and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements.

b. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

c. No Waiver: The failure of the Company to enforce any right or provision of these Terms will not be considered a waiver of those rights.
